Justice Department gives green light to Paramount's massive takeover of Warner Bros in major media shakeup

The US Justice Department's Antitrust Division has approved Paramount's $111 billion acquisition of Warner Bros., clearing a major regulatory hurdle for the blockbuster media merger. The decision allows Paramount to combine with the entertainment and media company behind HBO Max streaming service and Warner Bros. Pictures.

The approval comes after an extensive review, with DOJ officials determining the transaction does not pose a threat to competition. No divestitures, behavioral remedies, or concessions were required. Paramount CEO David Ellison had met with Antitrust Division officials, including career staff attorneys, to address concerns about the transaction.

However, the merger's legal scrutiny is not over, as California Attorney General Rob Bonta is still reviewing the transaction and could potentially sue to block the deal. Representatives from several state attorneys general, including New York's Letitia James, were present during Ellison's meeting with DOJ officials.

Paramount has maintained that the merger will strengthen competition, creating a media company better positioned to compete with streaming leaders. Nevertheless, Hollywood workers fear the merger could lead to another wave of layoffs, with critics arguing that cost savings will come at the expense of jobs and opportunities for creators.

The decision follows a bitter lobbying battle in Washington, with Paramount accusing Netflix of waging a "scorched-earth campaign" against the deal. Netflix has rejected the allegations, calling them "absurd." The DOJ's approval marks a significant step forward for the merger, which is expected to be announced formally.
